LOUISVILLE, Ky. — Yum! Brands announced Monday it has reached agreements to sell Pizza Hut for $2.7 billion in two separate transactions, according to a company press release. The Louisville-based restaurant giant is selling the chain’s international operations to private equity firm LongRange Capital and its China business to Yum China Holdings.

Yum! Brands is the 14th largest employer in Orange County, with around 3,000 employees at its Irvine offices.

CEO Chris Turner framed the move as a sharpening of focus. “These transactions enable Yum! to be a more focused company that continues to leverage scale, technology and talent to accelerate our raising the B.A.R. priorities and deliver sustained value for our stakeholders,” Turner said.

LongRange Capital will pay approximately $1.5 billion for Pizza Hut’s operations outside Mainland China, with a potential $75 million earn-out available by 2030. Yum China will pay $1.2 billion for the China operations. After taxes, fees, and closing adjustments, Yum! expects to net roughly $2.3 billion from both deals.

The sale caps a strategic review that began in November 2025. Both transactions were unanimously approved by Yum!’s board and are expected to close in the third quarter of 2026, pending regulatory approval.

Yum! plans to use the net proceeds in line with its capital allocation strategy. The board also approved a new $4 billion share repurchase authorization alongside the sale.

After closing, Pizza Hut will no longer be reported as a Yum! division. KFC and Taco Bell remain under the Yum! umbrella.

Yum! Brands has designated Irvine, California, as one of its two U.S. “brand headquarters” campuses, alongside Plano, Texas, in a 2025 restructuring aimed at “increased collaboration and growth.”

The Irvine brand headquarters anchors Taco Bell and Habit Burger & Grill, which Yum says will “remain headquartered in Irvine, California” following the dual‑campus decision.

Yum! Brands traces its roots to PepsiCo’s restaurant division, which began with the acquisitions of Pizza Hut in 1977, Taco Bell in 1978 and KFC in 1986, before those chains were spun off together in 1997 as Tricon Global Restaurants, a new company focused solely on quick-service restaurants. The Louisville-based firm adopted the Yum! Brands name in 2002 after acquiring Yorkshire Global Restaurants and has since reshaped itself into a mostly franchised empire, spinning off its China operations into separately traded Yum China in 2016 while pushing aggressive international growth. Today, Yum! oversees a portfolio of KFC, Pizza Hut, Taco Bell and Habit Burger & Grill locations that has grown to more than 60,000 restaurants in over 150 countries and territories, making it one of the world’s largest restaurant companies by unit count.
